Eligibility Criteria

  • Total Experience Required: 15 years in Banking or listed Finance/Insurance companies
  • Relevant Experience: Minimum 5 years in Board Secretariat/Investor Relations handling secretarial duties

Roles and Responsibilities

  • Act as Company Secretary and Secretary to the Board, ensuring compliance with all applicable laws and governance standards.
  • Provide all necessary documents, reports, and agenda items to the Board members in a timely manner.
  • Ensure compliance with SEBI regulations and be the Compliance Officer for SEBI/GOI related matters.
  • Implement and manage policies related to Prevention of Insider Trading and other SEBI-related frameworks.
  • Coordinate with regulatory bodies such as SEBI, RBI, GOI, NSE, BSE, NSDL, CDSL, RTA, DPs, and auditors.
  • Ensure investor grievance redressal through SEBI SCORES portal and monitor shareholder complaint status.
  • Ensure proper conduct and documentation of Board and Committee meetings including AGMs and EGMs.
  • Liaise with authorities and stakeholders regarding capital raising activities and securities listing.
  • Frame or amend governance-related policies and ensure alignment with SEBI and RBI regulations.
  • Support and advise other departments on secretarial and compliance matters.
  • Monitor compliance with Companies Act, SEBI Rules, Banking Laws, and ensure Corporate Governance norms are followed.

Pay Scale and Benefits
